Terms of service

The agreement between Advorum and the businesses that use Advorum.

1. About these terms

These terms of service (the "Terms") are an agreement between Advorum ("we", "us") and the business or organisation that creates or uses an Advorum workspace ("you"). By creating an account, joining a workspace or using the service, you accept these Terms on behalf of that business. If you do not have authority to bind the business, do not use the service.

Advorum is a software service that connects to accounting data you choose to share, calculates financial indicators and uses AI models to produce analysis and recommendations. It is intended for business use, not for individuals acting for personal purposes.

2. Accounts and workspaces

You must give accurate information when you sign up and keep it up to date. Each person needs their own login, and credentials must not be shared.

A workspace belongs to the business that created it. Owners and admins decide who has access and with which role, and are responsible for the actions of the members they invite.

Tell us promptly if you believe an account or workspace has been compromised.

3. Trial and plans

New workspaces start on the Starter trial for the period shown on our pricing page. The trial includes an AI model provided by us and is subject to the usage limits shown there.

When the trial ends, the workspace moves to the Basic plan automatically. Basic and paid plans run AI features on API keys that you supply for the AI providers you choose.

Paid plans are activated by our team on request. Plan limits, such as advisors, seats, consultations and data connections, are set out on the pricing page or in a written quotation, and we may agree different limits with you.

4. Fees and invoicing

Fees for paid plans are stated in Malaysian ringgit and exclude applicable taxes, which are added to the invoice where the law requires.

Unless agreed otherwise in writing, paid plans are billed monthly in advance and invoices are payable within 14 days. We may suspend a workspace if an invoice remains unpaid 14 days after we have sent a reminder.

We may change our prices with at least 30 days' notice. A new price applies from your first billing period after the notice ends.

Charges from AI providers for keys you supply are between you and that provider, and are not part of our fees.

5. Acceptable use

You must not, and must not allow anyone else to:

  • use the service for anything unlawful, or to process data you have no right to process;
  • try to access another workspace's data, or probe, scan or test the security of the service without our written permission;
  • interfere with or overload the service, or get around rate limits, plan limits or security controls;
  • configure connectors to reach systems you are not authorised to access;
  • resell the service, except as part of your own professional services to your clients where your plan allows it;
  • copy, reverse engineer or build a competing product from the service, except where the law expressly permits it.

6. Your data

You keep all rights in the data you upload or connect and in the outputs generated for your workspace ("Customer Data"). You give us a limited right to host, process and transmit Customer Data only as needed to provide, secure and support the service.

We do not sell Customer Data and do not use it to train AI models. How we handle personal data is described in our Privacy Policy.

You are responsible for having a lawful basis to share Customer Data with us, including any personal data about your staff, customers or suppliers that it contains.

You can export your consultations while your workspace is active. After a workspace is closed, we delete Customer Data within the period stated in the Privacy Policy unless the law requires us to keep it.

7. Connectors and third-party services

Connectors retrieve data from systems you configure, such as the AutoCount Web API, using credentials you supply. Connectors are read-only: they do not create, change or delete records in those systems.

You are responsible for the systems you connect, for keeping them reachable and for the accuracy of the data they hold. Third-party services, including accounting software and AI providers, are governed by their own terms, and we are not responsible for their availability or conduct.

8. AI output is not professional advice

Analysis, recommendations and resolutions produced by AI advisors are generated automatically. They may be incomplete or wrong, and they depend on the quality of the data provided.

Outputs are decision support only. They are not accounting, audit, tax, legal, investment or other professional advice, and they do not create an advisory relationship. You remain responsible for your decisions and should consult qualified professionals where appropriate.

The Resilience Index is an indicator calculated from your figures using fixed rules. It is not a credit rating and not a guarantee of financial health.

9. Availability and changes

We aim to keep the service available and to give notice of planned maintenance, but we do not promise uninterrupted or error-free operation.

We improve and change features over time. If we remove a feature that is material to a paid plan, we will tell you in advance and you may cancel under the Refund Policy.

We may update these Terms. We will give at least 30 days' notice of material changes by email or in the service. Continuing to use the service after a change takes effect means you accept the updated Terms.

10. Intellectual property

The service, including its software, design, content and trademarks, belongs to Advorum or its licensors. These Terms give you a right to use the service while your workspace is active. They do not transfer ownership.

If you send us feedback or suggestions, we may use them without any obligation to you.

11. Limitation of liability

To the extent the law allows, the service is provided "as is" and "as available", and we exclude all implied warranties, including fitness for a particular purpose.

To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business or data, arising from use of the service or reliance on its outputs.

Our total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees you paid us for the service in that period, or RM 500 if you paid no fees.

Nothing in these Terms limits any liability that cannot be limited under Malaysian law.

12. Suspension and termination

You may stop using the service at any time. Cancellation of paid plans is covered by the Refund Policy.

We may suspend or close a workspace if you materially breach these Terms, if payment is overdue as described above, or if we must do so to comply with the law or to protect the service or other customers. Where practical, we will give notice and a chance to put things right first.

Provisions that by their nature should survive termination, including those on Customer Data, liability and governing law, continue to apply.

13. Governing law

These Terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction over any dispute. Before starting proceedings, both parties will first try in good faith to resolve the dispute through discussion.
